- Ownership - You may not claim intellectual or exclusive ownership to any of our products or services, modified or unmodified. All products and services are the property of Expeditorsplus Inc.
Terms and Conditions of Service
Expeditorsplus Inc. will handle all "Services" provided to the "Customer" on the following terms and conditions unless a separate agreement is issued by Expeditorsplus Inc., whereby the separate agreement shall be used to resolve any conflict between the two. Agents or employees of Expeditorsplus Inc. are unauthorised to alter or waive any of the provisions of the terms and conditions outlined below.
- The Customer will make available to Expeditorsplus Inc. in a timely manner all information and documents necessary or useful to provide the Services. The Customer endorses the accuracy and completeness of all documentation and information made available to Expeditorsplus Inc.
- Expeditorsplus Inc.is authorised to select and engage other contractors ("Third Parties") to provide some or all of the Services required for delivery. Expeditorsplus Inc. will use reasonable care in the selection of Third Parties.
- Expeditorsplus Inc. will be liable for a claim or demand only if the alleged damages are proven to be the result of Expeditorsplus Inc. sole negligence. Expeditorsplus Inc. will not be liable to the Customer for incidental, consequential, punitive or other indirect damages. In the event a claim is made against Expeditorsplus Inc. by a Third Party, the Customer will indemnify, defend and hold harmless Expeditorsplus Inc., its officers, employees and agents from any and all liability, loss, damages, claims, liens, costs and expenses, including legal fees, incurred as a result of the negligent acts or omissions of the Customer, its officers, employees and agents.
- Expeditorsplus Inc. will not be liable for any act, omission or default in connection with the delivery of Services without a written statement and proof of claim ("Claim") presented to Expeditorsplus Inc. within sixty (60) days from the date of discovery of Claim. Any claim or demand maintained against Expeditorsplus Inc. must be instituted within twelve (12) months of completion of service.
- It is the responsibility of the Customer to know and comply with the laws and regulations of government agencies. Other than outlined in paragraph 3, Expeditorsplus Inc. will not be held accountable for the consequences of any action taken, fines or penalties levied by a governmental agency against the Customer. The Customer recognises governmental laws, regulations and interpretations are subject to change and Expeditorsplus Inc. shall not be obliged to update the Customer on said matters.
- Expeditorsplus Inc. will prepare invoices that will be paid by the Customer in the ordinary course of business. The Customer agrees to keep its account current. In regards to collection or other action against the Customer related to monies owed to Expeditorsplus Inc., the Customer agrees to pay the expenses of collection and or litigation, including legal fees, plus 1.5% interest per month.
- All information provided by the Customer in connection with the Services is strictly confidential and, except as otherwise required by law, will not be disclosed to any third party nor used by Expeditorsplus Inc. for any other purpose without the express written consent of the Customer. Information provide by Expeditorsplus Inc. in connection with the Services is confidential and proprietary, and, except as required by law, will not be disclosed to any third party nor used by Customer without the written consent of Expeditorsplus Inc. and shall remain at all times the sole property of Expeditorsplus Inc.
